Important Notes

The financial instruments that give capital protection and returns (if any) do not have any guarantees. If at maturity, the relevant indices do not register a growth, no gains will be made. Past performance is not necessarily a guide to future performance, and currency fluctuations may affect the value of your investment once reconverted into your base currency. Exposure to emerging markets generally entails greater risks than exposure to well-developed markets. However, these MTNs are designed to return your capital in full at maturity regardless of underlying indices' performance. Any subscription in the MTNs is to be made on the basis of the MTN Term Sheet and Prospectus dated 31 July 2008 and the Base Prospectus Supplements issued by HSBC Bank plc which will be made available to customers on request. HSBC Bank plc is authorised and regulated by the UK Financial Services Authority. These MTNs are not sponsored, endorsed, sold or promoted by any of the underlying indices. None of the underlying indices shall have any liability whatsoever with respect thereto.

The distribution of the funds' Prospectuses and the offering of shares may be restricted in any other jurisdiction.
